STANDARD TERMS AND CONDITIONS OF SALE
1. Definitions
In these Terms and Conditions:
"The CPD Centre" means ASMA (Pty) Ltd trading as The CPD Centre, including its directors, employees, facilitators, consultants, associates, contractors, agents, and authorized representatives.
"Client" means any individual, company, government ministry, department, agency, local authority, parastatal, educational institution, non-governmental organization, development partner, donor agency, or other entity purchasing or receiving services from The CPD Centre.
"Participant" means any individual registered for or participating in a programme, workshop, seminar, conference, webinar, coaching programme, consulting engagement, certification programme, or online learning programme.
"Services" means all training, consulting, advisory, coaching, facilitation, conference management, certification, research, eLearning, and related professional services offered by The CPD Centre.
2. Acceptance of Terms
These Terms and Conditions apply to all services provided by The CPD Centre.
By accepting a quotation, signing a contract, issuing a purchase order, making payment, registering for a programme, enrolling in an online course, or submitting an online registration form, the Client and Participant acknowledge that they have read, understood, and agreed to be bound by these Terms and Conditions.
Any terms and conditions submitted by a Client shall not apply unless expressly accepted in writing by The CPD Centre.
3. Quotations and Proposals
All quotations, proposals, fee schedules, and programme offers issued by The CPD Centre remain valid for the period stated therein.
The CPD Centre reserves the right to amend programme schedules, venues, facilitators, methodologies, and pricing prior to formal acceptance by the Client.
Acceptance of a quotation, proposal, contract, purchase order, registration, or invoice constitutes a binding agreement.
4. Fees and Pricing
All fees are quoted in Botswana Pula (BWP) unless otherwise stated.
All fees are exclusive of Value Added Tax (VAT) unless specifically stated to be VAT inclusive.
Programme fees may include tuition, training materials, refreshments, certification, and other services as indicated in the programme description.
Accommodation, travel, visa costs, transportation, internet access, and other personal expenses remain the responsibility of the participant unless otherwise agreed in writing.
5. Payment Terms
Invoices are payable within the period specified on the invoice, quotation, proposal, contract, or purchase order.
Where no payment period is specified, payment shall be due within fourteen (14) calendar days of invoice date and prior to programme commencement.
The CPD Centre reserves the right to:
Refuse admission to a programme;
Suspend services;
Suspend LMS access;
Withhold certificates;
Withhold reports or deliverables;
Suspend consulting assignments; and
Deny future registrations
where fees remain unpaid.
Interest may be charged on overdue accounts at the maximum rate permitted under Botswana law.
The Client shall be responsible for all reasonable legal, collection, recovery, and enforcement costs incurred in recovering outstanding amounts.
6. Corporate Sponsorship and Purchase Orders
Where fees are to be paid by an employer, sponsor, donor, ministry, institution, or other third party, the Client shall provide an official purchase order, sponsorship letter, commitment letter, or equivalent authorization before programme commencement.
The sponsoring organization remains responsible for full payment of all fees.
Failure by the sponsor to settle fees shall not relieve the participant of financial responsibility where applicable.
7. Registration and Admission
Registration is subject to programme availability and satisfaction of any applicable admission requirements.
The CPD Centre reserves the right to refuse, defer, postpone, suspend, or cancel any registration where academic, administrative, legal, safety, operational, or ethical considerations require such action.
Programme places are only confirmed once registration and payment requirements have been met.
8. Open Programme Cancellation, Transfer and Refund Policy
Participant Cancellation
Where written notice of cancellation is received:
More than fourteen (14) calendar days before programme commencement: full refund less administrative charges.
Between seven (7) and fourteen (14) calendar days before programme commencement: 50% refund.
Less than seven (7) calendar days before programme commencement: no refund.
Participant Substitution
A registered participant may be substituted by another participant from the same organization at no additional cost provided written notice is received prior to programme commencement.
Programme Transfer
The CPD Centre may permit transfer of registration to a future programme at its sole discretion.
9. Postponement or Cancellation by The CPD Centre
The CPD Centre reserves the right to postpone, reschedule, modify, relocate, convert to online delivery, or cancel any programme due to:
Insufficient registrations;
Facilitator unavailability;
Force majeure events;
Health and safety concerns;
Government directives;
Technical failures; or
Circumstances beyond its reasonable control.
Where a programme is cancelled by The CPD Centre, participants shall be entitled to either:
A full refund; or
Transfer to a future programme of equivalent value.
The CPD Centre shall not be liable for accommodation, travel, transport, visa costs, subsistence expenses, or other indirect costs incurred by participants.
10. In-House Training, Consulting and Advisory Services
For customized services, deliverables, timelines, and responsibilities shall be governed by the approved proposal, contract, terms of reference, or service agreement.
Where delays occur due to actions or omissions of the Client, The CPD Centre reserves the right to revise project timelines and fees where appropriate.
Fees for completed work shall remain payable regardless of project suspension or termination by the Client.
11. Attendance and Conduct
Participants are expected to conduct themselves professionally and respectfully at all times.
The CPD Centre reserves the right to remove any participant whose conduct is disruptive, abusive, discriminatory, unlawful, unethical, threatening, or detrimental to the learning environment.
No refund shall be payable in such circumstances.
12. Certification
Certificates of Participation, Completion, Competence, Achievement, or any other certification shall only be issued where participants:
Meet attendance requirements;
Successfully complete assessments where applicable;
Satisfy programme requirements; and
Have paid all applicable fees.
The CPD Centre reserves the right to withhold certification until all financial and academic obligations have been fulfilled.
13. Online Learning and LMS Programmes
Access to Online Programmes
Access to online programmes is granted solely to the registered participant.
Usernames, passwords, access credentials, and course materials may not be shared with any third party.
Access Period
Access shall be provided for the duration specified in the programme description.
The CPD Centre reserves the right to deactivate access upon expiry of the access period.
Technical Requirements
Participants are responsible for ensuring access to suitable internet connectivity, devices, software, and technical infrastructure.
The CPD Centre shall not be liable for interruptions caused by participant equipment, internet services, or technical limitations.
Academic Integrity
Participants shall complete assessments honestly and independently unless collaboration is specifically authorized.
The CPD Centre reserves the right to investigate plagiarism, cheating, impersonation, unauthorized use of AI tools, unauthorized collaboration, and other forms of academic misconduct.
Where misconduct is established, The CPD Centre may:
Invalidate assessments;
Withhold certification;
Suspend LMS access;
Terminate enrolment; or
Take any other appropriate action.
LMS Refund Policy
Once LMS access credentials have been issued and access has commenced, refunds shall generally not be granted except in exceptional circumstances determined by The CPD Centre.
Learning Analytics
The CPD Centre may monitor participation, attendance, progress, assessment completion, engagement statistics, and learning analytics for learner support, certification, quality assurance, accreditation, compliance, and reporting purposes.
14. Intellectual Property
All programme content, manuals, presentations, videos, recordings, templates, assessments, workbooks, reports, methodologies, frameworks, research outputs, software, online content, and related materials remain the intellectual property of The CPD Centre or its licensors.
No material may be reproduced, distributed, copied, uploaded, recorded, modified, sold, licensed, or commercially exploited without prior written consent.
15. Confidentiality
The CPD Centre shall treat Client information confidentially except where disclosure is required by law or authorized by the Client.
Participants shall maintain the confidentiality of information shared during programmes, consulting engagements, coaching sessions, workshops, and online learning activities.
16. Data Protection and Privacy
The CPD Centre may collect, process, store, and use personal information for purposes including:
Registration and enrolment;
Programme administration;
Certification;
Quality assurance;
Accreditation and compliance reporting;
Learner support;
Marketing of relevant programmes and services;
Business administration; and
Legal and regulatory compliance.
The CPD Centre shall take reasonable measures to protect personal information in accordance with applicable laws.
17. Limitation of Liability
The CPD Centre shall exercise reasonable care, skill, and diligence in delivering its services.
To the fullest extent permitted by law, The CPD Centre shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from participation in any programme or use of any service.
The total liability of The CPD Centre shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
18. Force Majeure
The CPD Centre shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to:
Natural disasters;
Epidemics and pandemics;
Government actions;
Civil unrest;
Labour disputes;
Power outages;
Internet disruptions;
Telecommunications failures; and
Other force majeure events.
19. Complaints and Dispute Resolution
Complaints relating to programmes or services must be submitted in writing within fourteen (14) calendar days of the event giving rise to the complaint.
The parties shall make reasonable efforts to resolve disputes amicably before commencing legal proceedings.
20. Governing Law and Jurisdiction
These Terms and Conditions constitute a legally binding agreement between the Client and ASMA (Pty) Ltd t/a The CPD Centre.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Botswana.
Any dispute arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Botswana.
21. Amendments
The CPD Centre reserves the right to amend these Terms and Conditions from time to time.
The applicable version shall be the version in force at the date of registration, enrolment, quotation acceptance, purchase order issuance, contract execution, or payment.
22. Website and Online Registration Acceptance
By clicking "Register", "Book Seat", "Enrol", "Purchase", "Proceed to Checkout", "Submit Registration", or any similar button on The CPD Centre website or learning platform, the participant confirms that they have read, understood, and accepted these Terms and Conditions in full.
